INVESTMENT AGREEMENT

This Investment Agreement (“Agreement”) is made between:

Shrestha Capital Investment (“Service Provider”)

1. Purpose

Shrestha Capital Investment aims to help investors grow their wealth through safe and smart investment strategies. This agreement outlines the terms under which the Investor agrees to invest with Shrestha Capital Investment. The investor acknowledges that the funds contributed will be invested in equity shares listed on the Nepal Stock Exchange (NEPSE) with the objective of generating capital gains and/or dividend income over time.

2. Investment Details

Minimum Investment Amount: NPR 5,00,000

Maximum Investment Amount: No Limit

Lock-in Period: 3 Years

• No withdrawal or early exit during this period.
• Early Exit Penalty: 5% deduction from capital and no profit sharing for that year.

3. Expected Returns

Annual Expected Return: 10%

Bonus: Additional 20% from net profits (as applicable)

Note: Returns are targets based on market performance and are not guaranteed.

4. Disclaimer on Investment Returns

The stated 10% annual return is a target, not a guaranteed return. It is based on market performance and the success of the investment strategy.

If the portfolio does not generate sufficient net profit, the return may be reduced accordingly.

If the investment incurs a net loss, the Investor may not receive any return for that financial year.

In such cases, the capital will be preserved to the best extent possible using risk management strategies, but returns cannot be promised.

5. Liability & Risk Disclaimer

The Service Provider shall not be held liable for any loss arising from market fluctuations, third-party risks, or force majeure events. The investor assumes full responsibility for market risks associated with this investment.

6. Legal Compliance

This business will be registered with SEBON Nepal and will operate in full compliance with Nepal’s financial laws and regulations.

The investor understands that any act of fraud, negligence, or violation of applicable law by the company is not protected by this agreement.

7. Bonus Distribution

The bonus, if applicable, will be calculated as 20% of the net profits generated from the investor’s capital allocation within the financial year. The distribution of the bonus is not guaranteed and will depend on the overall performance and profitability of the investment portfolio.

The bonus distribution will be reviewed and declared during the Annual General Meeting (AGM) held by Shrestha Capital Investment. Only investors who have maintained their investment for the entire financial year and are not in breach of the agreement terms shall be eligible for the bonus.

Bonus Payout Timeline:

• The bonus will be distributed within 30 days after the AGM at which it is approved.
• Bonus shall be paid either via bank transfer or digital wallet, as preferred by the investor.
• In case of insufficient profits or negative returns, no bonus will be issued for that year.

8. Reporting

The Investor will receive periodic reports detailing:

• Where funds are invested
• Performance of the investment
• Any important updates or changes

Reports will be shared via email and secure online dashboard.

9. Additional Opportunities

• Access to promoter share opportunities
• Top business investment insights
• Early alerts on high-potential investments

10. No Legal Advice/Guarantees

This agreement does not constitute a legal, tax, or financial guarantee.

11. Termination

This agreement remains active until the end of the lock-in period, unless ended by mutual agreement or early exit with penalty.
